Welcome to Shpper (“Shpper,” “we,” “us,” or “our”).
These Terms & Conditions (“Terms”) govern your access to and use of the Shpper website, mobile application, seller dashboards, and related services (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use Shpper.
1. About Shpper
Shpper is an online marketplace that connects buyers with independent third-party sellers.
Shpper does not own, manufacture, or directly sell the products listed by sellers unless explicitly stated.
2. Eligibility
To use Shpper, you must:
- Be at least 18 years old
- Have legal capacity to enter into binding agreements
- Provide accurate and complete registration information
Sellers must additionally provide valid business and regulatory documentation where required.
3. User Accounts
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
Shpper reserves the right to suspend or terminate accounts for:
- False or misleading information
- Fraudulent activity
- Violation of these Terms
- Abuse of the Platform or other users
4. Marketplace Transactions
a. Buyers
- All purchases are made directly from sellers
- Product descriptions, pricing, and availability are set by sellers
- Buyers are responsible for reviewing listings before purchasing
b. Sellers
- Sellers are solely responsible for:
- Product accuracy and legality
- Pricing, fulfillment, and delivery
- Compliance with applicable laws and regulations
- Shpper may charge commissions, service fees, or subscription fees as agreed
5. Payments & Fees
- Payments are processed via third-party payment providers
- Shpper does not store full payment card details
- Seller payouts are subject to:
- Order completion
- Refund and dispute windows
- Applicable fees and deductions
Shpper reserves the right to update fees with prior notice.
6. Shipping & Delivery
- Delivery timelines are provided by sellers or logistics partners
- Shpper is not liable for delays caused by:
- Sellers
- Couriers
- Customs or force majeure events
7. Returns, Refunds & Disputes
- Return and refund policies are determined by sellers unless otherwise stated
- Shpper may assist in dispute resolution but is not obligated to issue refunds
- Abuse of refund or dispute mechanisms may result in account action
8. Prohibited Activities
You agree not to:
- Violate any laws or regulations
- List counterfeit, illegal, or restricted products
- Interfere with platform security or functionality
- Harass, abuse, or harm other users
- Use the Platform for fraudulent or deceptive purposes
9. Intellectual Property
All Platform content, including logos, software, designs, text, and graphics, is owned by or licensed to Shpper.
You may not:
- Copy, modify, distribute, or exploit Platform content
- Use Shpper branding without written permission
10. Limitation of Liability
To the fullest extent permitted by law:
- Shpper is not liable for indirect, incidental, or consequential damages
- Shpper is not responsible for seller products, actions, or omissions
- Platform use is at your own risk
11. Indemnification
You agree to indemnify and hold Shpper harmless from claims, damages, losses, and expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Seller activities or listed products
12. Suspension & Termination
Shpper may suspend or terminate access:
- Without prior notice if required by law
- Immediately in cases of fraud, abuse, or security threats
Termination does not affect accrued rights or obligations.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, unless otherwise required by applicable consumer protection laws.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts.
14. Changes to These Terms
Shpper may update these Terms at any time.
Updated Terms will be posted on the Platform with a revised effective date.
Continued use constitutes acceptance of the updated Terms.
